Definition

(i) “Customer” means a person who orders Product(s) via this Website: www.us-boards.com;
(ii) “Product(s)” means any products listed as shopping items on this Website;
(iii) “Seller” means us-boards, inc. acting as manufacturer and or seller of Product(s);
(iv) “Website” or “this Website” means www.us-boards.com.

1. ORDERS:
By placing an order via Internet, Customer agrees to these Terms and Conditions of Sale. All Internet orders are subject to review and acceptance by the Seller. The Seller reserves the right to reject such orders which, in its sole opinion, may contradict these terms and conditions or may result in infringment of the laws of the United States.

2. PRICE:
Pricing of Product(s) shall be the price as stipulated on this Website at the time when the Customer places an order with Seller. Customer agrees to pay an amount equal to any and all applicable state, and local taxes.

3. SUPPLY OF PRODUCTS:
The pictures showing the Product(s) in this Website may not be identical to the Product(s) as shipped to the Customer. The Seller shall have the right to supply the Product(s) which do not correspond to the pictures appearing in this Website, provided that the said Product(s) perform substantially the same function as described in this Website. Seller shall have the right to make substitutions and modifications of the specification of the Product(s) ordered by the Customer, provided that such substitutions or modifications will not materially affect the overall performance of the Product(s) or the type of Product(s) ordered by the Customer.

4. TITLE & DELIVERY:
All sales are F.O.B. point of shipment. Title and risk of loss pass to the Customer upon delivery of items to carrier at shipping point, which delivery shall constitute delivery to Customer for all purposes. The choice of the carrier will be exerted by the Seller at its own discretion. Quoted shipping dates are approximate.

5. PAYMENT:
All orders are prepaid by means of Credit Card, check, wire or other means identified at the seller discretion. By placing the order Customer agrees to such payment terms as indicated by the Seller and assumes all the risk deriving by the actual mean of payment choosed. The Seller is not considered liable for any risk deriving by frauds or illegal behaviours put in act by the Customer or by third parties during the payment process. Upon placing an order with Seller, the Customer shall provide to Seller his or her valid credit card number and other billing information as requested by the Website. Seller will usually charge the Customer prior to shipment of the Product(s).

6.PRIVACY AND DATA DISCLOSURE
Seller will take all reasonable precautions to keep the details of Customer's order and payment secure but Seller cannot be held liable for any losses caused as a result of unauthorised access to information provided by the Customer to the Seller or to third parties operating on his behalf.

7. DEFECTIVE ITEM RETURN:
The Customer may return a qualifying item to the Seller within 30 days of receipt, with free replacement should the product fail for reason of a product defect. THe same shipping condition indicated in point 4 will hold. A qualifying item is a standard product purchased in single quantity, for which the seller has issued to the Buyer an RMA (Return Material Authorization) and returnable freight prepaid in complete, undamaged, unaltered and working condition. A prepaid charge, to be determined by the seller before RMA issuing, applies to all returns to cover the cost of performing quality test and restocking. Customer may exercise this return right only once for the same product. Custom or cutomized items do not qualify for RMA. Items returned prior to the issuing of a written RMA authorization by the seller will be refused, destroyed or restored in full disponibility of the Seller at sole discretion of the Seller.

8. LIMITED PRODUCT WARRANTY:
IT IS EXPRESSLY AGREED THAT NO WARRANTY OF MERCHANTABILITY, WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE, NOR ANY OTHER WARRANTY (EXPRESS, IMPLIED OR STATUTORY) IS MADE BY THE SELLER, EXCEPT THAT THE SELLER WARRANTS GOODS TO BE FREE FROM DEFECTS IN MATERIALS AND WORKMANSHIP IN NORMAL USE AND SERVICE. The liability of the seller under this warranty is limited solely to the repair, replacement or issuance of credit (at the sole discretion of the seller) for such products that become defective within three (3) months after delivery to the customer (the "Warranty Period"), provided that (1) the defective items are returned to the seller upon the seller issuance of an RMA, transportation charges prepaid by Buyer and (2) the seller's examination of such item discloses to the seller's satisfaction that such defects have not been caused by improper handling, storage, testing or installation, abuse, misuse, neglect, repair, alteration or accident.

9. REPAIRS:
The seller will estimate and charge buyer repair cost plus round-trip shipping charges as payment for all expenses incurred for the repair of defects or replacement of items not covered by the warranty. The repair or replacement by the seller of any item shall not be deemed to extend the warranty period of any item which has been repaired or replaced or to create any new warranty period. In no event shall the seller be liable for loss of profits, loss of use, incidental damages, consequential damages or any loss, costs or damages of any kind based upon a claim for defective products or breach of warranty.

10. SUITABILTY TO A PURPOSE, LIFE SUPPORT DEVICES, USE AS WEAPON, SAFETY HAZARDS
The product is an electronic power board and as such it should be installed, used or repaired only by expert professionals with full knowledge of all applicable safety procedures. Customer by purchasing the product confirms such knowledge. By selling the product the Seller does not aknowledge any suitability of the product to any specific purpose and holds no responsibility for any damage to the Custome or to third parties deriving by malfunctioning, improper installation or use. The Seller's products are not authorized for use as components of life support devices. It is Buyer responsibility to exert due diligence while using the seller’s products in all applications that in any way can result in dangers for the Customer or for third parties, and in which, by proper or improper functioning the Customer or third parties can be harmed. The Seller's products are not authorized for use in weapon systems or for any outlawed application. By acquiring the Seller's products the Customer acknowledge that the product will be operated with the required experience and skills, in a safe environment and taking all the necessary precautions that safety of the Customer and of third aprties will require. The Seller disclaims any warranty or responsibility for any harmful or insecure usage, or any usage that can result in damages or losses, which shall be at Customer's sole risk, even if the Seller has been previously notified of such usage.

11. LIMITATION OF LIABILITY:
LIABILITY OF THE SELLER TO BUYER FOR DAMAGES FOR ANY CAUSE WHATSOEVER, AND REGARDLESS OF THE FORM OF ANY ACTION, WHETHER IN CONTRACT OR IN TORT, INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE, SHALL BE LIMITED TO THE GREATER OF $5,000 OR THE PRICE SPECIFIED IN THE SALE CONTRACT FOR THE SPECIFIC PRODUCT(S) THAT DIRECTLY OR INDIRECTLY CAUSED THE DAMAGES. IN NO EVENT SHALL THE SELLER BE LIABLE TO BUYER OR OTHERS FOR LOSS OF GOODWILL, LOSS OF PROFITS, LOSS OF USE OR OTHER SPECIAL, COLLATERAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES, REGARDLESS OF THE FORM OF ACTION THEREFORE, WHETHER IN CONTRACT OR IN TORT, INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE, EVEN THE SELLER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. BY USING THE PRODUCT(S) THE BUYER ACKNOWLEDGE THE COMPLIANCE OF THE PRODUCT FOR THE USE AND ASSUMES ALL LIABILITY FOR ANY AND ALL DAMAGES ARISING FROM OR IN CONNECTION WITH, THE USE OR MISUSE OF THE PRODUCTS BY BUYER, ITS EMPLOYEES, OR OTHERS.

12. GOVERNING LAW:
This sales agreement will be governed by and construed in accordance with the laws of the State of Arizona. In the event any one or more of the provisions contained herein shall for any reason be held to be invalid, illegal or unenforceable in any respect, such invalidity, illegality or unenforceability shall not affect any other provision hereof.
